Terms of Service
These Terms and Conditions (“Terms”) govern your use of the Loygenix freelance marketplace (the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
- Description of Services
The Platform provides a marketplace where businesses and individuals (“Clients”) can connect with freelancers (“Talent”) to obtain services. Loygenix is not a party to any agreement between Clients and Talent, and does not provide any services or employ any Talent. Loygenix is not responsible for any services provided by Talent or any interactions between Clients and Talent.
- Eligibility
To use the Platform, you must be at least 18 years old and capable of forming a binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements and that you have the right, authority, and capacity to enter into and abide by these Terms.
- User Accounts
To use certain features of the Platform, you must create an account and provide certain information, including your name, email address, and a password. You agree to provide accurate, complete, and up-to-date information and to keep your account information current. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account.
- Payment Terms
Loygenix charges Clients a fee for using the Platform, which is a percentage of the total amount paid to Talent for their services. Loygenix uses a third-party payment processor to facilitate payments between Clients and Talent. Clients are responsible for paying Talent for their services and for any applicable taxes.
- User Conduct
You agree not to use the Platform for any illegal or unauthorized purpose, and to comply with all applicable laws and regulations. You agree not to engage in any conduct that could harm Loygenix, the Platform, or any other user, including:
- Using automated scripts to access the Platform or collect data;
- Posting false, misleading, or defamatory content;
- Harassing, bullying, or threatening other users;
- Infringing the intellectual property rights of Loygenix or any third party;
- Interfering with or disrupting the Platform or its servers;
- Engaging in any other conduct that violates these Terms or is harmful to Loygenix, the Platform, or its users.
- User Content
You retain ownership of any content you post on the Platform, but you grant Loygenix a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, and display that content in connection with the Platform. You represent and warrant that you have all necessary rights to grant this license, and that your content does not infringe the intellectual property rights of any third party.
- Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES PROVIDED BY LOYGENIX ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TALENTLANCERS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Limitation of Liability
IN NO EVENT SHALL LOYGENIX BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM OR THESE TERMS, WHETHER OR NOT TALENTLANCERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Indemnification
You agree to indemnify, defend, and hold harmless Loygenix, its affiliates, officers, directors, employees, agents, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees
